Moses & Singer LLP Advises SAS Groupe Positive in Its Acquisition of Surfer Sp. z o.o.

Moses Singer recently acted as U.S. counsel to SAS Groupe Positive, a French digital media company in connection with its acquisition of Surfer Sp. z o.o., a Polish company involved in AI-powered search optimization. The transaction closed in early October 2025.

Our involvement stemmed from the fact that Surfer Sp  z.o.o. was owned by a Delaware holding company, requiring U.S. legal support on the transaction. We worked closely with WKB Lawyers, a leading Polish law firm, which acted as lead counsel for Groupe Positive in the acquisition transaction. WKB and Moses Singer met through the International Bar Association, and this is a good example of IBA member firms collaborating on cross border M&A.

The deal team included Allan Grauberd (Corporate), Steve Lueker (Tax), and Michael Fingerhut (Banking).

Moses Singer Represents Tangible Markets in Strategic Investment by a Global Fintech Company

Moses Singer represented Tangible Markets Ltd. in its recent investment transaction with a global fintech company. The transaction pairs Tangible Markets' liquidity solutions for private fund investors with the fintech company's investment platform. Tangible Markets’ solutions provide holders of private fund investments secondary market transaction capability across a wide range of deal sizes.

Moses Singer Represents NYIAX, Inc. in Purchase of Two Majority-Owned Subsidiaries of Collective Audience, Inc.

A team of Moses Singer attorneys led by Jeffrey Davis represented NYIAX, Inc. a US-based online platform media buying company, in its purchase of two majority-owned subsidiaries of Collective Audience, Inc., a publicly-traded digital media buying company, one in France and the other in the United States.  The deal team included Lindsay Kaplan, Steve Lueker, and Sadie Salvia

Moses Singer Represents Triple Threat Communications in its Strategic Sale to Deerfield Group

A team of Moses Singer attorneys consisting of Jeffrey Davis, Michelle Cox, Steve Lueker and Liz Corradino represented, Triple Threat Communications (TTC), a New Jersey-based healthcare marketing agency, in its successful sale to Deerfield Group, a move that significantly expands Deerfield’s capabilities in the healthcare communications sector.

The acquisition brings TTC’s deep expertise in healthcare marketing to Deerfield’s growing portfolio and strengthens the firm’s ability to deliver comprehensive services including print management, in-house digital development, media buying, speaker training programs, medical communication services, and global experience capabilities. With the integration of TTC, Deerfield also gains access to a client base that includes mid- to large-sized pharmaceutical companies and a broader understanding of global markets.

Moses Singer Represents Rhoads Online Institute and Aithent Inc. in Their Acquisition by Private Equity Firm Equality Asset Management

Moses Singer represented Rhoads Online Institute and Aithent Inc. in an acquisition transaction with Equality Asset Management (EAM). This transaction was announced in a press release dated June 11, 2025.

As part of the acquisition transaction, EAM formed Auctivo, a new software platform launched by EAM which includes the businesses of Rhoads Online, Elation Systems, and the Government Software Division of Aithent.

Auctivo is a purpose-built platform focused on delivering vertical market software solutions in the governance, risk, and compliance (GRC) space. Designed to serve government agencies and organizations across highly regulated industries—including financial services, insurance, healthcare, and construction - Auctivo brings together three complementary businesses, each with deep domain expertise and a proven track record in regulatory and compliance technology.

The newly formed platform will enable each business to operate independently while benefiting from EAM’s strategic support and resources. Under the leadership of CEO N. Venu Gopal (previously one of the principals of Rhoads Online and Aithent), Auctivo aims to modernize regulatory operations and drive measurable value through advanced automation, data integration, and actionable business intelligence.

Moses Singer Represents Lockard & Wechsler in its Sale to McKinney, a Subsidiary of Cheil Worldwide

A team of Moses Singer attorneys consisting of Jeffrey Davis, Lindsay Kaplan, Steve Lueker, Liberty McAteer, Elizabeth Corradino, Nahum Palefski, and Sadie Salvia, represented Lockard & Wechsler LLC, d/b/a LWD Direct, a US-based media marketing firm, in its sale to McKinney Ventures, a subsidiary of Cheil Worldwide, the global marketing arm of Samsung Group.

Lockard & Wechsler, headquartered in Irvington, New York, was founded in 1991 and built a reputation as a leader in video advertising and direct response television (DRTV) marketing.

Moses Singer Represents the Horizon Group Management Team in an Acquisition by GHK Capital Partners

On August 22, 2024, GHK Capital Partners, a leading middle market private equity fund, completed its acquisition of Horizon Group, a leading global provider of specialized international freight forwarding focused on time-critical marine spare parts logistics, operating out of over 30 locations across the Americas, Europe, and Asia.

Moses Singer represented the Horizon Group management team with respect to various aspects of the transaction. The transaction team included James Alterbaum, Allan Grauberd and Kirk Haynes of the corporate group, and Steve Lueker of  the tax group.

Moses Singer assisted in all aspects of the negotiations of this transaction, working directly with top management of AAI.
