FINANCIAL TRANSACTIONS

Our Corporate practice handles matters involving angel rounds of financings, venture capital transactions, private equity negotiations, private placements, mezzanine financing, recapitalizations, IPOs and secondary public offerings. We represent a broad array of issuers, investors, funds and underwriters. Our experience covers a diverse range of industries including technology, consumer products, wholesale distribution, manufacturing and professional firms.

Our Corporate practice is current on key legal issues involving our clients’ businesses. For example, at least 30 states have recently amended their respective versions of the Uniform Commercial Code to recognize certain digital assets as new forms of intangible property, i.e., controllable accounts, controllable payment intangibles, and other controllable electronic records. These amendments have significant implications for contracts for the sale or lease of goods, the negotiability of electronic records functioning like negotiable instruments, letters of credit, securities entitlements, the purchase and sale or other financing of digital assets, and the perfection and priority of security interests in electronic records as a form of intangible property. Two Moses Singer attorneys played active roles in the drafting or enactment of these amendments, including Alan Kolod chairing the NYC Bar committee that drafted the report endorsing NY’s enactment of these amendments and (with three others) preparing the NY version of the amendments (taking into account NY’s non-uniform versions of UCC Articles 3 and 4 and NY’s ESRA), and Michael Evan Avidon helping to draft the amendments to UCC Article 5 on Letters of Credit.
