JoAnna R. Nicholson is an associate at Moses & Singer LLP in the Healthcare and Privacy and Cybersecurity practice groups.  JoAnna's practice focuses on federal and state regulatory compliance issues affecting a broad range of health care clients, including hospitals and health systems, academic medical centers, pharmaceutical and medical device manufacturers, biotechnology companies, physician practices, managed care plans, long term care facilities, government departments and agencies, financial institutions and other entities that invest in or support the health care industry. Specific aspects of JoAnna’s practice include:

  • Advising clients on state and federal privacy issues, including drafting and implementing policies and guidelines regarding regulatory compliance with HIPAA and the HITECH Act, as well as providing guidance with respect to breaches of individual identifying information;
  • Drafting a variety of transactional and compliance documents with respect to human subject research, including clinical trial agreements, informed consent forms, IRB authorization agreements, policies and procedures implementing human subject research protections and research billing requirements under federal and state law, and assessment surveys for the purpose of conducting internal audits to comply with policies, procedures and law;
  • Assisting managed care organizations, independent practice associations, and providers in drafting and negotiating health plan provider agreements, assisting on compliance with state managed long term care and dual eligible programs, as well as advising clients with respect to state insurance laws and state and federal government health program requirements;
  • Guiding academic institutions, physicians, researchers, and pharmaceutical and medical device manufacturers with respect to the disclosure and management of financial conflicts of interest;
  • Counseling clients with respect to compliance under federal and state fraud and abuse laws, including the civil False Claims Act, the Anti-Kickback Statute, and Stark laws and the expansion of those laws under the Patient Protection and Affordable Care Act;
  • Performing regulatory due diligence with respect to healthcare related mergers and acquisitions;
  • Advising clients on a variety of state and federal licensure and reporting issues; and
  • Assisting clients with regard to the FDA drug and device approval process.

JoAnna also has experience providing clients with guidance on matters involving business reorganization and bankruptcy, primarily representing commercial creditors, including indenture trustees and creditors’ committees.
