Wai Chan is a partner in the firm’s Corporate/M&A practice. He represents corporations and private funds in a broad range of corporate and transactional matters.  Wai concentrates on representing borrowers in secured credit transactions, including asset based financing, working capital and term loan financing and warehouse facilities involving asset portfolios comprised of equipment finance leases, consumer loans, mortgage loans and single-family rental properties.

Wai also counsels clients on acquisitions and sales, corporate governance issues, partnership agreements, operating agreements and shareholders agreements.

  • Represented a private fund in a $350 million revolving loan facility secured by residential mortgage loans made by a commercial bank.
  • Represented a private fund in a $75 million revolving loan facility secured by residential rental properties made by a commercial bank.
  • Represented a consumer loan originator in a $150 million senior warehouse facility made by an investment bank.
  • Represented an equipment lease finance company in $53,000,000 senior warehouse facility made by a commercial bank.
  • Represented equipment lease finance company in a $69,000,000 term loan facility made by an investment bank.
  • Represented a private fund in $50,000,000 revolving loan facility extended to an overseas micro-loan originator subsidiary of a US-based Fintech company.
  • Represented the seller in a private sale of $69 million of restricted stock of a publicly-traded company.
  • Represented a publicly-traded integrated security systems provider in a $45 million cash out merger.
