Robert M. Friedman is a partner in Moses & Singer’s Corporate, Securities and Capital Markets, and Private Funds practice.  He is a seasoned corporate attorney with a specific expertise in the formation of private investment funds in various asset classes including: venture capital, buyout, mezzanine, infrastructure, secondary investment, special opportunities, hedge, debt and art.  He also represents clients in complex corporate transactions including mergers and acquisitions, public and private offerings of securities, leveraged buyouts, recapitalizations, debt financings and venture capital investments.   His practice encompasses investment firms and corporations in the United States, England, France, Germany, Poland, Israel, India and Japan.

Robert’s work in fund formation covers drafting of all documents related to US and non-US private investment funds of all sizes, including private placement memoranda, limited partnership agreements, subscription agreements and placement agent agreements.  He advises on structuring private investment funds to accommodate different groups of investors in, and on all legal and business matters relating to, private investment fund formation including Securities Act, Investment Company Act, Investment Advisers Act, ERISA and Tax.

For investment managers and general partners of private investment funds, Robert drafts and negotiates governing documents for and provides counsel on internal governance and economic / compensation issues. He acts as “general counsel” for investment managers in drafting employment, consulting and termination agreements for senior professionals.

Robert’s work in mergers and acquisitions covers the purchase and sale of companies up to $1 billion.  He offers a full range of services, including the drafting and negotiation of purchase and sale agreements and ancillary documents including transition services agreements, escrow agreements, noncompetition and nondisclosure agreements and license and cooperation agreements.

In the area of investments and corporate finance, Robert provides counsel on venture capital investments, joint ventures, co-investments, seed investments of new private funds and a complete range of credit agreements and public and private issuances of securities. 

Robert is active in pro bono and community pursuits.  He provided counsel to the Hebrew Free Loan Society and Chefs for Humanity and aids the Leukemia and Lymphoma Society in fundraising by participating in triathlons.  He is an Advisory Board Member of the Private Equity CFO Association.
