Arnold N. Bressler is a senior partner at Moses & Singer in the Corporate/M&A and Securities and Capital Markets practice groups, and is Co-Chair of the Legal Ethics and Law Firm Practice group. Arnie counsels clients on a broad range of corporate and securities matters, including mergers and acquisitions and public and private offerings.  Arnie’s clients include middle-market public companies and closely-held corporations in numerous industries, including technology and publishing.  He also represents equipment finance leasing companies, as well as lenders and hedge funds financing such companies.

In addition, Arnie is a regular author and lecturer on topics related to U.S. securities and corporate laws, as well as the issues facing lawyers in corporate legal departments and lawyers in private practice. 

Arnie is involved in a number of philanthropic organizations, serving on the Board of Trustees of Congregation Rodeph Sholom in New York and on the National Leadership Council of the Association of Reform Zionists of America.  For more than a decade, he served as a director and officer of an organization that supports social service programs in Israel.  Arnie also served on the Visiting Committee of Case Western Reserve University from 1996 to 2000. 

Prior to joining Moses & Singer, Arnie was Chair of the Business Law practice group at Epstein Becker & Green, P.C. He headed the Corporate Department at Milberg LLP for more than 20 years.

Representative Matters

  • Acted as general counsel and principal litigation strategist for a major equipment lease finance company, including successfully obtaining the decertification of a previously certified class in a complex litigation matter.
  • Advised a law firm specializing in healthcare and medical services on general corporate matters.
  • Negotiated numerous transactions with senior lenders on behalf of equipment lease financing company, raising over $500 million from major banks and hedge funds.
  • Provided lead representation on insurance and financing matters for a major litigation firm. 
  • Represented the shareholders of leading women’s evening wear apparel company in connection with a major investment in the company by a financial institution.
  • Counseled a public company providing technology-based integrated electronic security solutions on all corporate matters, culminating in its sale for approximately $45 million to a company in the defense and security industry.  In addition to taking the lead in negotiating the transaction, Arnie advised the Board of Directors as to their fiduciary duties as directors of a public company.
  • Acted as outside general counsel to a social media and adult entertainment company, including negotiation of the financing of a $500 million acquisition.
  • Represented several consulting professional groups and financial institutions, with particular focus on complex litigation strategy.
